New Standby Equity Purchase Agreement

In a recent announcement, Zapp EV disclosed the establishment of a new standby equity purchase agreement (New SEPA) with an affiliate of Yorkville Advisors Global, LP. This agreement secures additional financial backing, allowing Zapp to expand its commercial operations into more countries. The initial proceeds from this transaction will facilitate the production and commercial rollout of the i300 model in India.

That came after the previously disclosed strategy to select a new contract manufacturer for Zapp’s automobile sales throughout the nation. Prior to this, in February 2024, Zapp EV and the Investor signed a SEPA requesting the Investor’s commitment to buy up to $10 million worth of common shares in the Company. With an updated pledge of up to $50 million, the New SEPA will take the place of the Original SEPA.

A New Commitment

As per the New SEPA, the Investor has committed to provide Zapp with an advance of $4.0 million in three installments when certain prerequisites are satisfied. These prerequisites include the filing and successful execution of an SEC registration statement that authorizes the transfer of shares that are subject to the New SEPA.

Zapp EV will then, in its sole discretion, have the right—but not the obligation—to issue and sell to the Investor up to an additional $46 million worth of its ordinary shares, subject to specific conditions and limitations. This will depend on the Company’s funding needs and changing share price over the course of the three years that follow the Original SEPA’s effective date.

Fulfilling Individual Transportation Needs

In developing nations, two-wheelers are essential for individual transportation, and they are particularly well-suited for electrification. With urban densification on the rising, especially in Asia, Zapp EV’s solution is made to flourish in this environment.

With more investor backing, Zapp will have the financial means to expand its operations more quickly while still maintaining a high degree of flexibility in terms of when and how many shares it issues.

Zapp wants to raise funds as quickly as possible to maximize value for shareholders and start selling the i300 in a growing number of countries. This is made feasible by its asset-light business strategy and low finance requirements in comparison to other industries.
